Job Description

The Commercial Contracts Attorney will be responsible for drafting, reviewing, and negotiating a variety of commercial agreements, ensuring that all contracts are legally sound and aligned with company policies. You will work closely with various departments to provide legal advice and mitigate risks associated with commercial transactions. This role is critical in ensuring that the company’s interests are protected in all commercial dealings.

Responsibilities:

  • Draft, review, and negotiate a wide range of commercial agreements, including supply contracts, service agreements, partnership agreements, and licensing contracts
  • Provide legal advice and guidance on contractual risks, compliance, and obligations
  • Collaborate with cross-functional teams to ensure contracts align with business objectives and comply with applicable laws
  • Assist in contract dispute resolution, ensuring that issues are addressed efficiently and effectively
  • Keep up to date with changes in relevant laws and regulations, ensuring all contracts remain compliant
  • Develop and maintain contract templates, ensuring they reflect the company’s current legal needs and best practices
  • Assist in managing and improving the contract lifecycle process, from negotiation to execution and renewal
  • Work with external counsel when necessary, managing external legal resources to handle specific contractual matters
  • Advise stakeholders on contractual rights, obligations, and related legal matters
  • Ensure that contract-related risks are identified and appropriately mitigated

Requirements:

  • Juris Doctor (JD) degree from an accredited law school
  • Active license to practice law
  • 3–5 years of experience in drafting and negotiating commercial contracts, preferably in a corporate legal department or law firm
  • Strong understanding of contract law and legal principles
  • Excellent negotiation skills and ability to communicate complex legal issues to non-legal personnel
  • High attention to detail with excellent drafting and analytical skills
  • Ability to manage multiple contracts and projects simultaneously
  • Proficiency in contract management software is a plus
  • Strong interpersonal skills with the ability to work collaboratively across departments
